ACG Metals Agrees to Buy Blue Moon's Norway Copper Assets for $220 Million in Shares

ACG Metals Agrees to Buy Blue Moon's Norway Copper Assets for $220 Million in Shares

London-listed ACG Metals has agreed to buy Blue Moon Metals' Norwegian business for $220 million in shares. The deal adds the Nussir copper project, under construction in Arctic Norway, to ACG's Gediktepe mine in Türkiye.

At a glance

  • Blue Moon would receive about 8.85 million ACG shares, or 28% of the enlarged company before dilution.
  • ACG estimates $126 million is still needed to finish Nussir, which targets first copper concentrate in the first half of 2028.
  • ACG forecasts combined output above 50,000 tonnes of copper equivalent a year over 2029-2033.

Background

Copper equivalent converts a mine's gold, silver and zinc output into the amount of copper of the same value, so mines producing several metals can be compared. Nussir is an underground copper project near Hammerfest in Finnmark, northern Norway, with gold and silver by-products. The European Union has named it a strategic project under its Critical Raw Materials Act, which aims to cut reliance on foreign sources of strategic metals.

What happened

ACG Metals agreed on Tuesday to buy Blue Moon Norway AS from Blue Moon Metals for $220 million in shares, The Northern Miner and MINING.COM reported. The unit holds 94.52% of Nussir, the nearby Ulveryggen deposit and interests in the Sulitjelma copper-zinc district.

Blue Moon would receive about 8.85 million ACG shares, priced at £18.70 each on a 30-day average. That would give it 28% of the enlarged company before dilution. ACG shares rose 16% to £16.50 in London on Tuesday.

Why ACG wants Nussir

ACG chairman and chief executive Artem Volynets said the combination "creates a fast-growing European copper champion with industry-leading free cash flow margins".

Nussir is fully permitted and under construction. It is designed to process about 2 million tonnes of ore a year over a 13-year life to 2041. ACG expects it to average 18,400 tonnes of copper equivalent a year in 2029-2033 on a 100% basis.

Blue Moon plans to focus on its US critical-minerals assets while keeping exposure to Norway through its ACG shares.

What it means for ACG

The deal adds a second construction project. Days earlier, ACG said extra tailings and water-management work had delayed full commercial production at Gediktepe to the first quarter of 2027.

ACG estimates $126 million is still needed to finish Nussir and is assessing financing proposals, possibly including refinancing its Nordic bonds. It had net debt of $185 million at September 30. ACG aims to buy the remaining Nussir minority stake within a year of closing.

Our read

Outlook: neutral. First copper from Nussir is not due until 2028, so the deal does not change near-term supply.

What to watch

  • Financing for the remaining $126 million of Nussir construction costs.
  • Completion of tailings work at Gediktepe, targeted by year-end, weather permitting.
  • Closing of the deal and ACG's offer for the remaining Nussir minority stake.

Detailed analysis

Timeline

  • 2026-10-29: ACG says extra tailings work has delayed the ramp-up at Gediktepe.
  • 2026-11-03: ACG agrees to buy Blue Moon Norway for $220 million in shares.

Supply Drivers

Nussir would add about 18,400 tonnes of copper equivalent a year from 2029 if financing is secured.

Mining Production

Gediktepe's full commercial production has slipped to the first quarter of 2027.

What could lift prices

  • Nussir still needs $126 million of funding before it can produce.
  • First copper from Nussir is not due until the first half of 2028.

What could weigh on prices

  • ACG forecasts combined output above 50,000 tonnes of copper equivalent a year from 2029.
  • Norway's government has backed Nussir for its potential contribution to European copper supply.

Industry impact

IndustryEffectReason
Copper MiningPositiveThe deal combines two copper projects aimed at European supply chains.

Who gains, who loses

  • Blue Moon Metals shareholders: They gain about 28% of the enlarged ACG while Blue Moon focuses on US assets.
  • Existing ACG shareholders: Their stake is diluted by about 8.85 million new shares.

Other ways this could play out

  • If ACG secures Nussir financing on time, first copper could arrive in the first half of 2028.
  • If Gediktepe's ramp-up slips further, ACG could struggle to fund two projects at once.

Price risks

  • Construction delays at Nussir would push back new European copper supply.
  • Weather and tailings work have already delayed Gediktepe.
