Altius Bids for the Rest of TNR Gold and Its Copper and Lithium Royalties

Altius Bids for the Rest of TNR Gold and Its Copper and Lithium Royalties

Royalty company Altius Minerals has proposed buying the roughly 87% of TNR Gold it does not already own. The approach targets TNR's royalties on big Argentine copper and lithium projects and lands in the middle of a fight over TNR's board.

At a glance

  • Altius made an unsolicited, non-binding proposal on October 7 and holds about 12.7% of TNR Gold.
  • TNR owns royalties on the Los Azules copper, Mariana lithium and Josemaria copper-gold projects in Argentina.
  • TNR's special committee agreed to exclusive talks with Altius, but no price has been disclosed.

Background

A royalty company pays upfront for the right to a small share of a mine's future revenue or profit. It does not run the mine, so its costs stay low while it benefits from higher metal prices. A net smelter return (NSR) royalty pays a percentage of the revenue from the metal a mine sells.

What happened

TNR Gold said on October 7 that it had received an unsolicited, non-binding proposal from Altius Minerals. Altius wants to buy all the TNR shares it does not already own. It holds about 12.7% of the company.

A special committee of TNR's independent directors reviewed the approach and agreed to an exclusivity arrangement with Altius. Neither side has disclosed a price. TNR said there is no assurance a deal will follow.

Why Altius wants TNR

TNR's value lies in its royalties. It holds a 0.4% NSR royalty on Los Azules, McEwen's copper project in Argentina, and a 1.5% NSR royalty on Ganfeng's Mariana lithium project, which has produced since 2025. It also holds a 7% net profits royalty on the Josemaria project of Lundin and BHP, and 90% of the Shotgun gold project in Alaska.

Altius built its stake this year. It invested C$4.2 million at 17.75 cents a share in May and C$1.7 million at 23 cents in July, and now holds 30.9 million of TNR's roughly 244 million shares. At 32 cents a share, TNR had a market value of about C$80.9 million, according to The Northern Miner.

The fight over TNR's board

The bid comes during a contest for control of TNR. Eucalyptus Resources Opportunities Fund, TNR's largest shareholder, nominated four directors in August to replace the board. It had also criticised Altius's earlier investment as dilutive.

On October 5, the two sides agreed to drop a court petition and moved TNR's shareholder meeting to December 8. That leaves the special committee two months to weigh Altius's offer before shareholders vote on the board.

Our read

Outlook: neutral. A takeover of a small royalty holder does not change copper or lithium supply. It shows investors paying for exposure to Argentine copper and lithium projects.

What to watch

  • Whether Altius and TNR agree a definitive deal and disclose a price.
  • How Eucalyptus responds to the proposal before the December 8 meeting.
  • Progress at Los Azules and Mariana, which drives the value of TNR's royalties.

Detailed analysis

Timeline

  • 2026-10-05: TNR and Eucalyptus agree to drop a court petition; the shareholder meeting moves to December 8.
  • 2026-10-07: TNR discloses Altius's non-binding proposal and an exclusivity arrangement.
  • 2026-12-08: TNR's annual and special shareholder meeting is scheduled.

Mining Production

Mariana has produced lithium since 2025, so TNR's 1.5% royalty already earns revenue.

Global Consumption

Royalty buyers are paying up for future copper and lithium output from Argentina.

What could lift prices

  • Altius is willing to buy royalties on copper projects that have yet to be built.
  • Altius committed C$5.9 million to TNR shares this year before making its proposal.

What could weigh on prices

  • The proposal is non-binding, and no price has been disclosed.
  • A boardroom fight could delay or derail any deal.

Industry impact

Who gains, who loses

  • TNR shareholders: An outside bidder could put a premium price on their shares.
  • Eucalyptus Resources Opportunities Fund: An agreed sale to Altius could undercut its campaign to replace TNR's board.

Other ways this could play out

  • If Altius makes a firm offer the committee backs, TNR's royalties could join Altius's portfolio.
  • If Eucalyptus wins control of the board in December, the new directors could reject the proposal.

Price risks

  • Royalty takeovers do not change metal supply, so copper prices will not react.
  • Delays at Los Azules would reduce what any buyer is willing to pay for TNR.

Historical comparison

  • 2023: TNR rejected an unsolicited all-cash proposal from Lithium Royalty Corp, which later withdrew it.
