Cornish Metals Seeks £135 Million to Restart the South Crofty Tin Mine

Cornish Metals Seeks £135 Million to Restart the South Crofty Tin Mine

Cornish Metals has launched a £135 million fundraising at 60p a share to restart the South Crofty tin mine in Cornwall, England. The money unlocks bond funds held in escrow, and Glencore will take all the mine's tin concentrate for six years.

At a glance

  • The issue price is about 41% below the shares' last trade of 102p.
  • Cornish Metals is targeting first production at South Crofty in mid-2028, subject to consents.
  • Shareholders must approve the raise; without it, the company says it would very likely be unable to meet its debts.

Background

South Crofty is a historic tin mine in Cornwall, in south-west England, that closed in 1998 and that Cornish Metals is working to reopen. Tin is used mainly in solder for electronics. The company is listed on London's AIM market and has backing from the UK's National Wealth Fund and Vision Blue.

What happened

Cornish Metals launched a fundraising of about £135 million at 60p a share. It combines an institutional placing, cornerstone subscriptions from the National Wealth Fund, Vision Blue, Glencore and directors, and a retail offer. The issue price is about 41% below the shares' last trade of 102p, AskTraders calculated.

Glencore will also take 100% of South Crofty's tin concentrate under a six-year offtake agreement.

Why the raise matters

The timing is driven by debt. Cornish Metals placed $210 million of 13.5% bonds in May, but the money sits in escrow until the company raises at least $161 million of equity by November 21. This raise, worth about $188 million, would clear that bar.

The stakes are high. Nothing is underwritten, and if shareholders reject the resolutions the company says it would very likely fail the bond condition and be unable to meet its debts. The National Wealth Fund, Vision Blue and the directors have pledged to vote in favour, covering 57.95% of the shares.

What it means

The company's sources and uses total £302 million, including £185 million of capital spending, which it says will take South Crofty to first production in mid-2028, subject to consents. Existing holders face heavy dilution: the raise implies about 225 million new shares, roughly 1.8 times those in issue at the end of June.

Our read

Outlook: neutral. South Crofty would add tin supply only from 2028, so the raise does not affect tin prices now.

What to watch

  • The shareholder vote on the fundraising resolutions.
  • Release of the bond money from escrow ahead of the November 21 deadline.

  • 2026-11-21: Deadline to raise at least $161 million of equity to release bond funds.

Supply Drivers

South Crofty would add a new source of tin concentrate from mid-2028.

Mining Production

Restarting the mine needs £185 million of capital spending and shareholder approval of the raise.

What could lift prices

  • New tin supply from South Crofty is still years away.
  • Any failure of the raise would delay the project further.

What could weigh on prices

  • A funded South Crofty would add tin supply from 2028.
  • Glencore's offtake secures a buyer, de-risking the project.

Who gains, who loses

  • Glencore: It secures all of South Crofty's tin concentrate for six years.
  • Existing Cornish Metals shareholders: The 60p raise implies heavy dilution at a 41% discount.

Other ways this could play out

  • If shareholders approve the raise, the bond funds are released and construction can proceed.
  • If they reject it, the company says it would very likely be unable to meet its debts.

Price risks

  • A failed raise would remove a future source of tin supply.
  • Construction delays would push first production beyond mid-2028.
