Korean Court Rejects Young Poong's ₩670 Billion Damages Suit Over Korea Zinc's Buyback

Outlook: Neutral · October 23, 2026
Korean Court Rejects Young Poong's ₩670 Billion Damages Suit Over Korea Zinc's Buyback

A Seoul court has rejected Young Poong's damages suit against Korea Zinc chairman Choi Yun-birm and nine other directors over a 2024 share buyback. It is the latest round in a two-year fight for control of the world's largest zinc smelter.

At a glance

  • The court said the directors made a reasonable business judgment, even though the buyback defended their control.
  • Young Poong had claimed the buyback cost Korea Zinc about 670 billion won, or $470 million.
  • Young Poong and MBK Partners plan to appeal, Korean media reported.

Background

Korea Zinc is the world's largest zinc smelter and also refines lead, silver and other metals. Its founding families have split: chairman Choi Yun-birm runs the company, while the Young Poong group has teamed up with private equity firm MBK Partners to try to take control. A derivative suit is one in which a shareholder sues a company's directors on the company's behalf.

What happened

The Seoul Central District Court ruled against Young Poong on October 22 in its damages suit against 10 Korea Zinc directors, including chairman Choi Yun-birm, Seoul Economic Daily reported. Young Poong had argued that the directors broke their duties of care and loyalty to protect their own positions.

The case dates from the start of the control battle. In September 2024, Young Poong and MBK Partners launched a tender offer for Korea Zinc shares at 830,000 won each. The next month, Korea Zinc's board responded by buying back its own shares at 890,000 won.

Why the court sided with the directors

Young Poong said paying above the normal trading price cost Korea Zinc about 670 billion won ($470 million). The court found that directors have room for business judgment, as long as they gather the available information, follow the law and act in what they reasonably believe is the company's interest.

The directors had reviewed outside legal advice and earlier court injunction rulings before deciding, the court said. It also rejected Young Poong's claim that funding the buyback from a reserve set aside for another purpose broke company law or Korea Zinc's articles.

What it means

The ruling strengthens Choi's hand, but the fight is not over. Young Poong and MBK Partners said they would appeal, according to Korean outlets including Maeil Business and Chosunbiz. For the zinc market, the dispute matters mainly as a risk to management stability at one of the largest refiners of zinc, lead and silver.

Our read

Outlook: neutral. A court ruling on a boardroom dispute does not change Korea Zinc's smelter output or zinc supply.

What to watch

  • The appeal by Young Poong and MBK Partners.
  • Korea Zinc's next shareholder meeting, where control of the board could again be contested.

Detailed analysis

Timeline

  • 2026-10-22: Seoul Central District Court rejects Young Poong's derivative suit against Korea Zinc's directors.

Government Policies

Korean courts have now backed the board's use of a defensive buyback under the Commercial Act.

Refinery Output

The dispute is about control of the company, and the ruling does not affect smelter production.

What could lift prices

  • A long legal fight could distract management at a major zinc, lead and silver refiner.
  • Any future disruption at Korea Zinc would tighten refined metal supply.

What could weigh on prices

  • The ruling adds stability to Korea Zinc's current management.
  • Smelter output is not affected by the court case.

Country impact

Industry impact

IndustryEffectReason

Who gains, who loses

  • Korea Zinc chairman Choi Yun-birm: The court cleared him and nine other directors of liability for the buyback.
  • Young Poong and MBK Partners: They lost a claim of about 670 billion won in their bid to take control.

Other ways this could play out

  • If an appeal court overturns the ruling, the directors could face large damages claims.
  • If the ruling stands, Young Poong and MBK may have to win control through shareholder votes instead.

Price risks

  • Zinc prices depend on mine supply and Chinese demand, not on Korean court cases.
  • Only an operational disruption at Korea Zinc would affect the metal market.

Historical comparison

  • September-October 2024: Young Poong and MBK offered 830,000 won a share, and Korea Zinc answered with a buyback at 890,000 won.
