Northern Star Says Gold Fields' A$38.7 Billion Bid Is Now Below Its Share Price

Northern Star Says Gold Fields' A$38.7 Billion Bid Is Now Below Its Share Price

Northern Star Resources' chairman says Gold Fields' takeover proposal is now worth less than Northern Star's own shares. Gold Fields' chief executive spent last week touring Australian investors to push the board into talks.

At a glance

  • Northern Star's shares are more than 10% above their level before the approach leaked.
  • A combined group would produce 4.1 million ounces of gold a year from eight of Australia's 20 biggest gold mines.
  • Activist investor Elliott Investment Management holds about 6% of Northern Star and has urged it to consider a sale.

Background

Northern Star Resources is Australia's largest gold producer and runs the Super Pit in Kalgoorlie. Gold Fields is a South Africa-based miner. Its proposal offered 0.3125 new Gold Fields shares plus A$7.25 in cash for each Northern Star share. Because most of the offer is paid in shares, its value moves with Gold Fields' share price.

What happened

Gold Fields chief executive Mike Fraser spent last week meeting Northern Star's institutional investors in Perth, Sydney and Melbourne, The Sydney Morning Herald reported. Gold Fields brought the roadshow forward after Northern Star rejected its approach as "highly opportunistic". Fraser said investors appeared to broadly accept the deal's "strategic logic".

Northern Star chairman Michael Chaney pushed back. "At current market values, the Gold Fields proposal is now at a discount to Northern Star's share price," he said. Northern Star's shares are now more than 10% higher than on the day before news of the approach leaked.

Gold Fields' pitch

The initial offer valued Northern Star at A$38.7 billion, a 22% premium when it was made. Gold Fields told investors that a merged company would be the world's second-largest gold producer after Newmont. It would produce 4.1 million ounces a year and control eight of Australia's 20 biggest gold mines.

Fraser wants the board to agree on strategy and open its books before any talk of price. "If we can then go in and do due diligence, firm up the value, then we can have a conversation around value," he said. He added that talks began more than a year ago, after Gold Fields gained a 3.5% stake in Northern Star by buying Gold Road.

Pressure on both boards

Chaney said the board would engage with proposals worth more than Northern Star could achieve on its own, and this one was not. Gold Fields is courting Elliott Investment Management, which holds about 6% of Northern Star. Elliott has criticised the company's share-price performance this year and urged it to consider a sale or asset divestments.

Gold Fields also faces doubts from its own side. Earlier this week, UK investor Redwheel urged it to drop the bid, arguing that paying in shares would dilute existing Gold Fields holders.

Our read

Outlook: neutral. A takeover fight changes who owns gold mines, not how much gold is produced. It affects gold-mining shares more than the gold price.

What to watch

  • Whether Gold Fields raises its offer or wins access to Northern Star's books for due diligence.
  • How Elliott Investment Management uses its roughly 6% stake in the contest.

Detailed analysis

Timeline

  • 2026-10-15: Redwheel urges Gold Fields to abandon its bid for Northern Star.
  • 2026-10-18: Northern Star's chairman says the offer is now below its share price.

Supply Drivers

The contest is about ownership of existing mines and adds no new gold supply.

Mining Production

A merger would combine 4.1 million ounces a year of output, much of it from Western Australia.

What could lift prices

  • Big bids for gold miners show producers are confident in long-term gold prices.
  • Investor interest in gold miners has returned, according to a Betashares strategist quoted by the SMH.

What could weigh on prices

  • Consolidation does not create new demand for gold.
  • A falling Gold Fields share price would shrink the offer's value further.

Who gains, who loses

  • Northern Star shareholders: A contested bid could push Gold Fields toward a higher offer.
  • Gold Fields shareholders: Redwheel argues that paying in shares would dilute them.

Other ways this could play out

  • If Gold Fields raises its offer, Northern Star's board may agree to talks and due diligence.
  • If Gold Fields' shares keep falling, the bid could lapse without a deal.

Price risks

  • A sharp fall in gold prices would weaken the case for paying a premium for gold assets.
  • Opposition from Gold Fields' own investors could stall a higher bid.
