SSR Mining has agreed to buy Roxmore Resources and its Converse gold project in Nevada in a deal worth C$712 million in total. Converse lies six kilometres west of SSR's Marigold mine.
At a glance
- Each Roxmore share gets C$6.75 in cash and 0.33 of a share in a new exploration company.
- The cash part compares with Roxmore's C$5.32 close on Friday in Toronto.
- SSR Mining will hold just under 15% of the spun-out explorer.
Background
SSR Mining operates the Marigold gold complex in Nevada, where it has just published a 20-year mine plan. Buying a deposit next to an existing mine can let a miner use its processing plant and infrastructure instead of building new ones.
What happened
SSR Mining has signed a deal to acquire Roxmore Resources and its Converse gold project in Nevada, The Globe and Mail reported on October 13. The transaction is worth C$712 million in total, and Converse lies six kilometres west of SSR's Marigold complex.
Executive chairman Rod Antal said the deal is a compelling opportunity to add a high-quality, multimillion-ounce gold resource next door to Marigold at an attractive valuation.
The terms
For each share, Roxmore shareholders will receive C$6.75 in cash plus 0.33 of a share in a new gold exploration company. That company will hold Roxmore's Rattlesnake Hills, Shabu River and Newton properties and be led by members of Roxmore's current management.
The new company will be funded with US$10 million in cash and owned 85.01% by former Roxmore shareholders and 14.99% by SSR Mining. Roxmore's shares closed at C$5.32 on the Toronto Stock Exchange on Friday.
What it means
The deal comes alongside SSR's new 20-year plan for Marigold, which raised reserves 43% to 4.6 million ounces. SSR expects Marigold to average more than 230,000 ounces a year over the next five years.
Adding a large resource next door could extend mining in the area further. SSR will also keep a stake in Roxmore's other projects through its share of the new explorer.
Our read
Outlook: neutral. An acquisition of an undeveloped deposit does not change gold supply now.
What to watch
- Roxmore shareholder and regulatory approvals.
- SSR's plans for developing Converse alongside Marigold.
- Listing of the new exploration company.
