Worthington Steel's Sales Triple to $2.73 Billion in Its First Quarter With Kloeckner

Outlook: Neutral · October 12, 2026
Worthington Steel's Sales Triple to $2.73 Billion in Its First Quarter With Kloeckner

Worthington Steel's net sales rose 212% to $2.73 billion in the quarter to August 31, the first to include German steel distributor Kloeckner & Co. Deal-related costs pushed the company to a $7.0 million net loss from continuing operations.

At a glance

  • Kloeckner contributed $1.77 billion of sales, and Worthington's own business grew 9% to about $954 million.
  • Adjusted EBITDA rose to $111.0 million from $78.8 million a year earlier.
  • Total debt stood at about $2.2 billion at the end of August after the acquisition.

Background

Worthington Steel is a US steel processor. In June 2026 it completed the purchase of a majority stake in Kloeckner & Co, a steel and metals distributor, which roughly doubled the steel volume it handles. This was its first quarter reporting the two businesses together.

What happened

Worthington Steel reported results for its fiscal first quarter, which ended August 31, on October 6. Net sales were $2,726.6 million, up 212% from $872.9 million a year earlier. Kloeckner, acquired on June 3, contributed $1,772.7 million.

Without Kloeckner, sales rose 9%, helped by 3% higher direct volumes and 6% higher direct selling prices. Total volume reached 1,943,340 tons, against 928,866 tons a year earlier.

Why it made a loss

Operating income rose to $56.0 million from $48.3 million. But the company reported a net loss from continuing operations of $7.0 million, or 14 cents a share, against a profit of $36.8 million a year earlier.

The loss came mainly from one-time deal items. These included $22.6 million of acquisition expenses, a $15.5 million loss on Kloeckner shares it held before the deal and a $5.6 million tax write-off. Accounting for Kloeckner's inventory at fair value also cut gross margin by about $43 million. Excluding such items, adjusted earnings were 57 cents a share, down from 77 cents.

What it means

The deal has made Worthington much larger but also more indebted. Total debt was $2,196.4 million at the end of August, against cash of $248.2 million.

Worthington owns about 62% of Kloeckner and signed a control agreement on September 8 that needs Kloeckner shareholder approval and cannot take effect before January 1, 2027. Chief executive Geoff Gilmore called the quarter "an important milestone" as the company's first results including Kloeckner. It declared a quarterly dividend of 16 cents a share.

Our read

Outlook: neutral. These are one company's results after an acquisition. They say more about Worthington's balance sheet than about steel prices.

What to watch

  • The Kloeckner shareholder vote on the control agreement, which cannot take effect before January 1, 2027.
  • How quickly the company reduces its $2.2 billion of debt.
  • Whether the legacy business keeps growing volumes and prices.

Industry impact

IndustryEffectReason
SteelNeutralThe deal consolidates steel processing and distribution, but has little effect on steel prices.

Who gains, who loses

  • Worthington Steel: It is now a much larger company, with Kloeckner adding $1.77 billion of quarterly sales.
  • Worthington Steel shareholders, in the short term: One-time deal costs turned a year-earlier profit into a net loss.

Other ways this could play out

  • If the one-time costs fade as expected, later quarters should show the combined company's underlying earnings more clearly.
  • If steel demand weakens, the higher debt load would leave less room for error.

Price risks

  • Steel prices depend on global supply and demand, not on one processor's results.
  • Weaker selling prices would squeeze margins at the larger, more indebted company.
